1. Preamble: This Agreement sets forth the terms and conditions under which authors (“the Author”) agree to submit content, whether in the form of text, video, or audio, for publication on the website operated by The Pharmaceutical Marketing Group (TPMG).
2. Acceptance of Terms: By submitting content for publication on the TPMG platform, the Author hereby acknowledges and agrees to be bound by all terms and conditions set forth in this Agreement.
3. Intellectual Property: The Author shall retain all copyright and intellectual property rights pertaining to the submitted content. However, upon submission of content to TPMG, the Author grants TPMG a non-exclusive, perpetual, worldwide license to publish, distribute, reproduce, and utilize the content across any medium or format.
4. Warranty of Originality: The Author represents and warrants that the submitted content, whether in text, video, or audio format, is original, has not been unlawfully appropriated from others, and does not infringe upon the intellectual property rights of any third party.
5. Content Liability: The Author assumes full responsibility for the content submitted and any opinions expressed therein. TPMG disclaims any liability arising from the opinions or statements made by the Author in their submissions.
6. Editorial Rights: TPMG reserves the right, at its sole discretion, to review, modify, or reject any content submitted by the Author. Submission does not guarantee publication.
7. Termination Rights: TPMG retains the right to remove any published content at any time without prior notice to the Author.
8. Advertising Rights: TPMG reserves the right to display banners or advertisements on or adjacent to the Author’s content. Such advertisements may be contextually related to the content. The Author acknowledges and agrees that TPMG may undertake such actions without prior notification. All revenues generated from such advertisements shall accrue solely to TPMG.
9. Confidentiality: Both TPMG and the Author agree to maintain the confidentiality of all proprietary or confidential information that is disclosed or accessed during the course of this agreement. Such information shall not be used for any purpose outside the scope of this agreement or disclosed to third parties without the prior written consent of the disclosing party.
10. Severability: If any provision of this agreement is determined to be invalid or unenforceable by a court of competent jurisdiction, the remainder of the agreement shall remain in full force and effect, and the invalid or unenforceable provision shall be deemed modified to the least degree necessary to remedy such invalidity or unenforceability.
11. Duration and Termination: This agreement shall remain in effect until terminated by either party with a written notice of 30 days. Either party may terminate the agreement if the other party breaches any material term or condition of this agreement and fails to cure such breach within 30 days of receipt of written notice.
12. Force Majeure: Neither TPMG nor the Author shall be held liable for any failure to perform its obligations under this agreement if such failure is caused by acts of God, war, strikes, revolutions, lack or failure of transportation facilities, laws or governmental regulations, or other causes that are beyond the reasonable control of the party in default.
13. Updates and Modifications: TPMG reserves the right to update or modify its platform, which may affect the display, accessibility, or interaction with the content submitted by the Author. The Author acknowledges and agrees to such updates or modifications and understands that they are made to enhance the overall user experience.
14. Entire Agreement: This agreement embodies the entire agreement between TPMG and the Author and supersedes any prior representations, understandings, or agreements, whether oral or written, relating to the subject matter herein.
